Jennifer Overhaus, JD, LLM

With over 25 years of experience in corporate transactions spanning the UK, European and US markets, Jennifer has built a distinguished career advising clients across a broad spectrum of industries on mergers and acquisitions, private equity, finance transactions, venture capital, strategic investments, and general corporate matters. She has worked with a diverse client base, ranging from early-stage technology start-ups and high-growth companies to Fortune 500 corporations and Tier 1 financial institutions.

Jennifer’s track record includes managing multi-billion-dollar deals for global leaders while also providing hands-on, tailored support to small and mid-market companies. She is adept at guiding clients through the complexities of both large-scale transactions and more intimate, high-touch deals, ensuring that even the smallest clients receive the strategic counsel and attention needed to achieve successful outcomes.

A seasoned and highly respected lawyer in corporate law, technology transactions and outsourcing, Jennifer brings a unique combination of legal expertise and strategic business insight to her work as an investment banker. With a history of advising on high-value mergers and acquisitions, she excels in navigating complex deals while driving the commercial process to successful outcomes.

Jennifer’s prestigious career includes pivotal roles in London, England at Freshfields, a leading Magic Circle law firm, and at Pillsbury Winthrop Shaw Pittman, where she served as a partner and Global Head of the IT/Outsourcing Group. As a pioneer in the outsourcing market, she not only provided expert legal guidance but also became known for her ability to advise on the non-legal aspects of deals. Jennifer’s ability to balance the technical, operational and commercial considerations of outsourcing transactions—alongside the legal intricacies—was instrumental in structuring deals that were both legally sound and strategically viable.

Her work spanned every phase of the process, from initial scoping and vendor selection to deal structuring, risk allocation, and pricing, culminating in successful negotiations and post-deal integration.  A standout example of her work includes the $1.7 billion sale of Deutsche Bank’s global IT data centre assets to IBM, which also involved complex outsourcing arrangements.

Jennifer’s outsourcing practice was defined by her close collaboration with C-suite executives, including CEOs, CIOs, and COOs, to provide guidance on the strategic implications of outsourcing, such as data security, compliance, and change management. This holistic, business-first approach allowed her to build trusted, long-term relationships with senior leadership teams, helping to drive transformative outcomes for their businesses.

After returning to the U.S., Jennifer continued to expand her expertise at Morris, Manning & Martin, where she worked with both private and public high-tech companies on a variety of corporate matters. Her deep understanding of technology and operational dynamics—combined with her experience in managing large-scale transactions—positions her as a key advisor in mergers and acquisitions, especially in the context of corporate growth, technology integration, and strategic investments.

In addition to her extensive corporate and technology law expertise, Jennifer has served as a trusted outside general counsel to emerging and growth companies, providing strategic legal advice across regulatory, commercial, and operational challenges. She has a proven track record of helping businesses scale efficiently while navigating the complexities of technology-driven growth. Jennifer’s holistic approach allows her to deliver practical, business-focused solutions that enable companies to innovate securely and pursue strategic opportunities in fast-evolving markets.

Jennifer’s deep experience in technology law positions her as a go-to advisor for clients at the intersection of corporate strategy and technological innovation. Her expertise spans critical areas such as SaaS agreements, fintech, cybersecurity, AI, cloud services, and software licensing and distribution. This extensive background allows her to offer nuanced guidance on the complexities surrounding intellectual property, data privacy, and technology commercialization, ensuring clients remain compliant while effectively leveraging technology to drive business growth.

Outside of her professional work, Jennifer embraces the vibrant Florida lifestyle. Having recently relocated from London, she enjoys playing tennis and golf in the sunshine with her 13-year-old son, as well as running and relaxing at the beach. Having travelled the world, Jennifer is always on the lookout for new adventures and experiences that fuel both her personal and professional growth.
